Legal, Ethics & Business Integrity

 

JOB PURPOSE:

 

To lead a world class compliance function and implement an effective compliance program that operates across the Emirates Global Aluminium Group.  To ensure that the EGA Group is in compliance with applicable laws, regulations, policies and procedures and operates in an ethical manner.  To incorporate global best practices and ensure compliance risks are identified and abated.  To support and advise the EGA’s Executive Management team on all compliance related policies, programs and issues. To provide the General Counsel, the Corporate Compliance Review Board and the Audit, Risk, and Compliance Committee of the Board of Directors with periodic updates and guidance on compliance related matters.  Represent EGA with external stakeholders and regulators on all matters related to compliance

 

KEY ACCOUNTABILITIES:

 

Supervision and Development

  • Sets individual objectives for direct reports, manage their performance, develop and motivate them, and provide them with formal and informal feedback and appraisals
  • Sets objectives for Compliance Council members to develop and motivate them in implementing an effective compliance program
  • Assesses Compliance Council members performance and effectiveness

Budgets and Plans

Reviews Compliance budget submission and seek approval from General Counsel in a timely manner with consideration of management expectations and staffing required to support business growth and continuity across the Mubadala Group

 Program Leadership and Risk Assessment

  • Acts as the focal point for compliance related issues across the EGA Group
  • Serves as the CRB secretariat
  • Implements the compliance strategy, structure and initiatives across the EGA Group in close consultation with the General Counsel
  • Reviews operating and support team’s organizational compliance execution status to ensure program effectiveness and efficiency
  • Assesses key compliance risks and emerging issues, review internal and external audit results, analyses compliance reports, and review organizational assessments to identify compliance trends
  • Assists the Executive Management team to identify, assess, manage and proactively mitigate/abate risks associated with the EGA Group on a regular basis
  • Coordinates and networks with EGA’s customers, partners, suppliers and governments on compliance related matters
  • Develops and initiates new compliance programs as required
  • Determines compliance program strategies for new acquisitions and partnerships

Processes and Policies

  • Implements compliance processes and policies across the EGA Group
  • Develops and implements the EGA Code of Conduct, and review compliance processes and policies to ensure pro-active continuous improvement

Training

  • Ensures Compliance Council members are properly trained in current and emerging compliance risks
  • Ensures alignment of training program with key risks and strategic compliance program goals

Reporting

  • Oversees and manages the Compliance Helpline reporting and investigation processes
  • Reviews and assesses reported helpline concerns to identify key themes and to ensure root causes are identified and abated
  • Provides regular reports and updates to the General Counsel, Compliance Review Board and to the Audit, Risk, and Compliance Committee

Outsourcing

Procures strategic vendors and service providers in a timely and cost effective manner with the approval of the General Counsel

Professional Development 

  • Maintains appropriate awareness of the current local and international legislative, regulatory and compliance practices
  • Attends all internal and external training

 

AUTHORITY / DECISION MAKING:

 

  • The GC Compliance reports to the General Counsel and confers with him on all material and strategic issues of any nature in a timely and coherent manner
  • Key decisions having any material impact on the Compliance function are referred to the General Counsel for approval before implementation
  • The GC of Compliance identifies, formulates and implements the EGA Compliance program strategy with approval from the General Counsel
  • The GC of Compliance exercises financial authority as per the levels established by the EGA Delegation of Authority

 

QUALIFICATIONS & SKILLS:

 

Minimum Qualifications:

A bachelor’s degree from an internationally reputable university with preference of a graduate degree

Minimum Experience:

Minimum 4 years’ experience in-house working in a senior compliance position
